1. Acceptance and eligibility

These Terms of Service govern your access to and use of Studio and related websites, dashboards, APIs, and documentation (the "Service"). By using the Service, you agree to these terms.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

You may not use the Service if prohibited by applicable law or if your account has been suspended or terminated.

2. Service scope and availability

The Service provides unified API access for AI generation workflows, including Language, Image, and asynchronous video operations, model discovery, usage logs, and wallet-based billing features.

The Service is provided on an ongoing, evolving basis. We may add, remove, or modify features, model access, limits, and integrations without prior notice.

Third-party providers power parts of the Service. Availability, quality, latency, and model behavior may vary, and upstream incidents may affect your results.

3. Accounts, API keys, and security

You are responsible for account activity, API key confidentiality, and access controls in your systems. Treat API keys like credentials and rotate them promptly if exposed.

You must promptly notify us of suspected unauthorized access, security incidents, or credential leakage.

We may impose rate limits, spend caps, and other controls to protect platform stability and safety.

4. Acceptable use

You must use the Service lawfully and in compliance with all applicable regulations, contractual obligations, and third-party rights.

You may not: abuse or disrupt the Service; attempt unauthorized access; circumvent limits or pricing controls; use the Service for fraud, malware, or unlawful surveillance; or submit content you are not permitted to process.

You are solely responsible for your prompts, inputs, generated outputs, downstream use of outputs, and any moderation or review processes required for your use case.

5. Billing, credits, and refunds

Billing is usage-based. Before execution, the Service may apply an estimated hold; after completion, the final charge is settled based on measured or upstream-reported usage.

Holds are estimates and may differ from final charges. You are responsible for maintaining sufficient wallet balance and monitoring your own spending controls.

Top-ups, credits, and prepaid balances are generally non-refundable unless required by law or expressly stated otherwise in a signed agreement.

We may correct billing errors, adjust misapplied credits, and update pricing at any time. Pricing changes apply prospectively unless otherwise required by law.

6. Intellectual property and data rights

As between you and us, you retain rights in your inputs and outputs to the extent permitted by applicable law and third-party provider terms.

You grant us and our subprocessors a limited license to host, transmit, process, and store inputs and outputs as necessary to provide, secure, and improve the Service, enforce policies, and comply with law.

You represent that you have all rights and permissions necessary for submitted content and downstream usage.

7. Suspension and termination

We may suspend or terminate access immediately if we reasonably believe your use creates security, legal, fraud, abuse, or operational risk, or if you materially breach these terms.

You may stop using the Service at any time. Sections that by nature should survive termination remain in effect, including billing obligations, disclaimers, limitations, and indemnification.

8. Warranty disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted operation.

We do not warrant that outputs are accurate, complete, lawful, non-infringing, or suitable for your use case. You are responsible for validation and human review where appropriate.

9. Limitation of liability

To the maximum extent permitted by law, we and our affiliates, officers, employees, contractors, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business interruption.

To the maximum extent permitted by law, our aggregate liability for all claims relating to the Service is limited to the amounts you paid to us for the Service during the three (3) months before the event giving rise to the claim.

Nothing in these terms excludes or limits liability that cannot be excluded under applicable law.

10. Indemnification

You will defend, indemnify, and hold harmless us and our affiliates from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these terms.

11. Updates and contact

We may update these terms from time to time. Material updates will be posted on this page with a revised effective date.
